These Terms of Service ("Terms") govern your access to and use of the LightSignal platform at lightsignal.app and our mobile applications (the "Service"), operated by LightSignal LLC ("LightSignal," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and authorized to act on behalf of the business you register. By using the Service, you represent that the information you provide is accurate and that you have the authority to connect the accounts and data sources you link.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. You may add authorized team members; you are responsible for their use of the Service.
LightSignal connects to business tools you authorize and provides plain-English insights, alerts, and recommended actions. The Service is informational and decision-support only. LightSignal is not a certified accountant, financial advisor, tax advisor, attorney, or fiduciary, and its outputs do not constitute professional financial, accounting, legal, or tax advice. You are solely responsible for decisions you make. Always verify important figures and consult a qualified professional before acting on significant matters.
Insights are generated in part by AI systems and may contain errors or omissions. We do not warrant that any insight, forecast, or recommendation will be accurate or achieve any particular result.
The Service works by connecting to third-party services (such as accounting, point-of-sale, and review platforms). Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, or the accuracy of the data they provide. You represent that you have the right to connect those accounts and to allow us to access their data on your behalf.
Paid subscriptions are billed through our payment processor (Stripe) on the plan and cadence shown at signup. Free trials, if offered, convert to paid subscriptions unless canceled before the trial ends. Fees are non-refundable except where required by law or expressly stated. We may change pricing on a going-forward basis with notice; changes take effect at your next billing cycle.
We may provide some accounts (such as beta, pilot, or demonstration accounts) free of charge at our discretion. Complimentary accounts are not billed unless and until you expressly agree to convert to a paid subscription; we may modify or discontinue complimentary access at any time.

The Service, including its software, models, prompts, agent architecture, orchestration logic, visual design, and all related intellectual property, is owned by LightSignal and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes during your subscription.

The insights and reports generated for your business are yours to use for your business. Everything else about how the Service produces them remains ours.
You retain ownership of the business data you connect or provide. You grant LightSignal a license to access, process, store, and analyze that data solely to provide and improve the Service, as described in our Privacy Policy, including the use of anonymized, aggregated data. You represent that you have the rights necessary to grant this license.
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. We may also suspend or terminate accounts that violate these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT INSIGHTS OR RECOMMENDATIONS ARE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR CIRCUMSTANCES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIGHTSIGNAL AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold harmless LightSignal from any claims, damages, or expenses arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, including your representations about the data and accounts you connect.
You may cancel at any time through your account. We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice. On termination, your license to use the Service ends; provisions that by their nature should survive (including Sections 7, 8, 10, 11, and 12) will survive.
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York, and you consent to their jurisdiction.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email and update the "Last updated" date. Continued use after changes take effect constitutes acceptance.
